Please read these Terms of Use (this “Agreement”) carefully. By accessing or using this website and any related applications or services that link to these Terms (collectively, the “Site”), you agree to be bound by this Agreement. This Agreement is between you (“you” or “User”) and Hilton Head Soap Company, LLC (“Hilton Head Soap Co.,” “we,” “us,” or “our”).
This Agreement conditions your access to and use of the Site, including any page, feature, blog, content area, or service that links to this Agreement. Different or additional terms may apply to certain features, services, promotions, or programs offered through the Site. If you do not agree to these Terms, do not access or use the Site.
Important notice about arbitration. This Agreement contains an arbitration provision requiring most disputes to be resolved by binding arbitration rather than in court. Please review Section 20 for additional information.
If you use the Site on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to this Agreement, and references to “you” include that entity.
1. The Purpose of This Site
The Site provides information about our products, services, and brand. The Site and its content, including text, graphics, images, audio, video, layout, and presentation, are provided for general informational and shopping purposes. We may modify or discontinue any part of the Site at any time.
2. Revisions to This Agreement
We may update these Terms at any time by posting a revised version on the Site. It is your responsibility to review the Terms periodically. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
3. Disclaimer Regarding Third Parties
The Site may reference or link to third-party services, tools, or platforms. We are not responsible for third-party content, products, services, or policies, and we are not a party to any agreement or transaction between you and any third party.
4. Your License to Access the Site
Subject to your compliance with this Agreement, we grant you a limited, nonexclusive, nontransferable, revocable license to access and use the Site for your personal, noncommercial use, or for the internal business needs of an entity you are authorized to represent. All rights not expressly granted are reserved by Hilton Head Soap Co.
We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, including if we believe you have violated this Agreement, if we discontinue or materially modify the Site, or due to security, operational, or technical concerns. You are responsible for providing compatible devices, software, and internet access needed to use the Site.
You may not reproduce, duplicate, copy, sell, resell, distribute, or exploit any portion of the Site or Content except as expressly permitted by this Agreement.
5. Our Intellectual Property
The Site and its content, including text, designs, graphics, logos, icons, images, product names, trademarks, and service marks (collectively, “Content”), are owned by or licensed to Hilton Head Soap Co. and are protected by intellectual property laws. Third-party trademarks are the property of their respective owners.
Except as expressly permitted, you may not copy, modify, reproduce, republish, upload, post, transmit, distribute, sell, license, reverse engineer, decompile, or create derivative works from any portion of the Site or Content. You may not remove or obscure proprietary notices.
6. Accounts
Certain features may require you to create an account. You agree to provide accurate information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access or a security breach.
7. Content and Site Features
The Site may include Content provided by Hilton Head Soap Co. or by third parties. Some Site features may rely on third-party services. Your use of third-party features may be subject to additional terms and policies provided by those third parties.
8. User Content
The Site may allow you to submit, post, upload, or otherwise provide content such as reviews, images, text, or other materials (collectively, “User Content”). You retain ownership of your User Content as between you and Hilton Head Soap Co., subject to the license granted below.
By submitting User Content, you grant Hilton Head Soap Co. a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, host, store, publish, display, distribute, modify, adapt, translate, create derivative works from, and otherwise exploit your User Content for business purposes, including marketing, advertising, social media, retail materials, product pages, packaging concepts, and other brand communications, in any media now known or later developed, without additional notice or compensation.
You represent and warrant that you own or have all necessary rights to submit the User Content, that your User Content does not infringe or misappropriate third-party rights, and that you have obtained any necessary consents from individuals appearing in the content. You are solely responsible for your User Content.
We may remove or refuse to display User Content at any time in our discretion. If we remove User Content, it may remain in backups, archives, or where it has been shared or retained by others.
9. Ambassador Content, Compensation, and License
Hilton Head Soap Co. may offer ambassador, affiliate, or referral programs (including through third-party platforms). Participants (“Ambassadors”) may receive compensation such as commissions, discounts, gifted products, or other consideration (“Compensation”) in exchange for creating or sharing content related to Hilton Head Soap Co. (“Ambassador Content”).
By participating and by submitting or sharing Ambassador Content, including through social media tagging, branded hashtags, third-party platforms, or direct submission, you grant Hilton Head Soap Co. a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, distribute, display, publish, modify, and create derivative works from Ambassador Content for commercial and noncommercial purposes, including advertising, marketing, packaging, retail displays, and promotional use.
You represent and warrant that you have all necessary rights and permissions to grant this license, including permissions from individuals appearing in the content, and that your content does not infringe any third-party rights.
You agree to comply with all applicable laws and regulations, including the Federal Trade Commission endorsement and testimonial guidelines, and to include clear and conspicuous disclosures when required (for example, “#ad,” “#sponsored,” or “gifted by @hiltonheadsoap”).
Hilton Head Soap Co. may modify, suspend, or terminate any ambassador or affiliate relationship or program at any time. Participation does not guarantee ongoing engagement or compensation.
10. Privacy
We collect and process personal information as described in our Privacy Policy, which is incorporated into this Agreement by reference.
11. Third-Party Websites and Advertising
The Site may contain links to third-party websites or resources. We do not control and are not responsible for third-party websites, content, products, services, or privacy practices. Your use of third-party websites is at your own risk, and you should review their terms and policies.
12. Your Obligations to Us
You represent and warrant that you are of legal age to enter into this Agreement, that you have authority to agree to these Terms, and that all information you provide is accurate and complete. You agree to comply with this Agreement and all applicable laws and regulations.
If you submit User Content, you represent and warrant that you have all rights and permissions needed, that the content is accurate to the extent it contains factual statements, and that it does not violate third-party rights.
13. Prohibited Uses
You agree not to misuse the Site. Prohibited conduct includes, without limitation:
Posting or transmitting unlawful, harmful, harassing, obscene, defamatory, or otherwise objectionable material
Infringing or violating intellectual property, privacy, publicity, or other rights of others
Attempting to gain unauthorized access to accounts, systems, or restricted areas of the Site
Uploading or distributing malware, viruses, or other harmful code
Scraping, crawling, or using automated tools to extract data from the Site without permission
Interfering with the Site’s operation, security, or performance
Using the Site to compete with Hilton Head Soap Co. or to gather competitive intelligence
14. No Guarantees and Disclaimer of Warranties
The Site and all Content, products, and services provided through the Site are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
We do not warrant that the Site will be uninterrupted, secure, error free, or that any defects will be corrected, or that any results or information obtained through the Site will be accurate or reliable.
15. We Are Not Liable for Your Use of the Site
You use the Site at your own risk. Any content or materials downloaded or obtained through the Site are obtained at your discretion and risk, and you are solely responsible for any damage to your device or loss of data.
16. Limitation of Liability
To the maximum extent permitted by law, Hilton Head Soap Co. will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, goodwill, data, or other intangible losses, arising out of or relating to your use of or inability to use the Site, Content, or products or services purchased through the Site.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Site, this Agreement, or any products or services will not exceed the amount you paid to us for the product or service giving rise to the claim, or one hundred dollars ($100), whichever is greater, unless a higher amount is required by applicable law.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless Hilton Head Soap Co. and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, your violation of this Agreement, your User Content, or your infringement of any rights of another party.
18. Term and Termination
This Agreement remains in effect while you use the Site. We may suspend or terminate your access at any time if we believe you have violated this Agreement or for operational, security, or business reasons. You may stop using the Site at any time.
Sections that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
19. Access Through Mobile Devices
If you access the Site via a mobile device, your mobile carrier’s standard charges, data rates, and fees may apply. You are responsible for any such charges.
20. Agreement to Arbitrate
Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to this Agreement, the Site, or your purchase or use of our products or services will be resolved by final and binding arbitration administered by the American Arbitration Association, conducted in English, and held in Hilton Head Island, South Carolina, unless the parties agree otherwise.
The arbitrator will have exclusive authority to resolve disputes about the interpretation, applicability, enforceability, or formation of this arbitration provision, including any claim that it is void or voidable.
Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction in South Carolina to prevent irreparable harm pending completion of arbitration.
21. Governing Law and Miscellaneous
This Agreement is governed by the laws of the State of South Carolina, without regard to conflict of law principles. To the extent a dispute is permitted to proceed in court rather than arbitration, you agree that it will be brought exclusively in a court of competent jurisdiction in South Carolina, and you consent to personal jurisdiction and venue in such courts.
If any provision of this Agreement is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if not possible, severed, and the remaining provisions will remain in effect. This Agreement constitutes the entire agreement between you and Hilton Head Soap Co. regarding the Site and supersedes prior or contemporaneous communications on the subject.
22. Social Media and Third-Party Platforms
Hilton Head Soap Co. may interact with users on third-party platforms such as social networks and affiliate or ambassador platforms. Your use of third-party platforms is governed by their terms, policies, and community guidelines. We are not responsible for third-party outages, account actions, data practices, or platform decisions.
23. Right to Monitor Ambassador and Social Content
We may review publicly available content that references, tags, or promotes Hilton Head Soap Co., including ambassador or affiliate content. We may request edits, disclosures, or removal where content is inaccurate, misleading, inconsistent with brand standards, or noncompliant with applicable laws or platform requirements.
24. SMS, Email, and Mobile Communication Terms
If you opt in, we may send you promotional communications via email or SMS, including abandoned cart reminders, product announcements, and offers. You can opt out at any time by using the unsubscribe link in an email or by replying STOP to a text message. Consent to receive SMS messages is not a condition of purchase. Message frequency may vary. Message and data rates may apply depending on your mobile carrier.
We may use third-party providers to deliver communications. Your information is handled in accordance with our Privacy Policy.
For help with SMS, reply HELP to any message. We are not liable for delayed or undelivered messages, which may occur due to factors outside our control, including carrier or device limitations.
25. Notices
We may provide notices to you electronically by posting them on the Site, by sending them to the email address associated with your account, or through other reasonable means. You are responsible for keeping your contact information current.
